Terms of Service
Last updated: August 25, 2026. These Terms of Service (“Terms”) are a binding agreement between you (the customer organization and its authorized users) and Vesdo Technologies Inc. (“Vesdo,” “we,” “us”) for access to CoreFlt.
A. Service description & acceptable use
CoreFlt is a B2B software-as-a-service platform for fleet and asset maintenance operations, including organization workspaces, asset and component records, preventative maintenance planning, work orders, QR-based access, team invitations, billing, and related operational tooling.
You may use CoreFlt only for lawful business purposes and only with accounts and data you are authorized to manage. You agree not to: (i) reverse engineer, disrupt, or overload the service; (ii) probe or bypass security or multi-tenant isolation; (iii) upload malware or unlawful content; (iv) share credentials or allow unauthorized third-party access; or (v) use CoreFlt to provide a competing hosted service without Vesdo’s prior written consent. We may suspend or terminate access for material violations of these Terms or for unpaid fees.
Each organization remains responsible for its users’ actions, role assignments, and compliance with applicable maritime, transportation, workplace safety, and data-protection laws.
B. Telemetry & hardware disclaimer
Where enabled, CoreFlt may receive runtime and status information from telemetry sources such as BLE devices, gateways, paired hardware, or manual sync. Telemetry and related logs are provided solely for operational tracking and record-keeping.
CoreFlt does not guarantee prevention of machinery failure, wear, or catastrophic breakdown based on sensor telemetry logs. Hardware connectivity, sensor accuracy, battery state, installation quality, and environmental conditions are outside Vesdo’s control. You must continue to follow manufacturer inspection and service requirements and apply independent professional judgment.
C. AI maintenance schedule & OEM disclaimer
AI-generated schedules, PDF extractions, and factory maintenance templates are operational assistance tools provided “as-is.” Fleet owners, captains, and mechanics remain 100% legally responsible for verifying all maintenance intervals, task descriptions, and torque/fluid specifications against official manufacturer documentation prior to performing work.
Model outputs, vetted library templates, and parsed OEM manuals may be incomplete, outdated, mis-scoped to serial ranges, or incorrectly structured. CoreFlt does not act as your manufacturer, classification society, surveyor, or licensed mechanic. Approving or applying any schedule in CoreFlt does not create a warranty that the work is correct, safe, or complete.
D. Data rights & factual templates
Tenants retain full ownership of their private business records and uploaded PDF files. Vesdo processes that content only to provide and improve the service as described in our product documentation and these Terms.
You agree that factual, non-identifiable maintenance schedule data (for example make, model, interval hours, and task descriptions) extracted or curated by the system may be processed into aggregated, anonymous global templates that help other CoreFlt customers. Such templates will not include your organization name, customer identities, private notes, proprietary documents in full, or other personally identifiable information.
E. Limitation of liability & indemnification
To the maximum extent permitted by law, CoreFlt and related services are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.
Vesdo’s aggregate liability arising out of or related to these Terms or the service is capped at the fees you paid to Vesdo for CoreFlt in the twelve (12) months before the claim. Vesdo is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost revenue, lost profits, lost data, downtime, or equipment damage or failure, even if advised of the possibility of such damages.
You will indemnify and hold harmless Vesdo and its officers, directors, and employees from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the service, your maintenance decisions, your uploaded content, or your breach of these Terms, except to the extent caused by Vesdo’s willful misconduct.
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Courts located in Montreal, Quebec shall have exclusive jurisdiction, unless mandatory consumer protections require otherwise (these Terms are intended for B2B use).
